These Terms of Use are effective immediately for Zuzo App users who first visit or join on or after the date specified above.

1. Introduction

Welcome to the Zuzo App. This App is owned and operated by Zuzo Agency, Inc. (“we,” or “us”). These Terms of Use (“Terms″) govern your use of our App, hereafter referred to as “the Zuzo App”. These Terms include information about usage, licensing, and intellectual property. Please read these Terms carefully. By using the Zuzo App, you consent to these legally binding Terms as well as our Privacy Policy and Cookie Policy,, which is hereby incorporated.

The Zuzo App is an application based platform that connects parents/guardians (“care seekers”) and nannies (“child care providers”). The Zuzo App offers an interface for creating profiles, secure messaging, and scheduling tools. Care seekers can create profiles in the Zuzo App where they post information about themselves and their family, specific child care needs (age of children, days/hours of care needed), the rate of pay offered, location where care is to be provided, and additional nanny (“child care provider”) qualification requirements (certifications, licenses, experience). Nannies (“child care providers”) create profiles in the Zuzo App where they post information about themselves, experience in child care, qualifications (certifications, licenses), availability, desired rate of pay, and location.

The Zuzo App uses AI technology to match care seekers with nannies (“child care providers”) based on their specific needs and preferences. Please note that the Zuzo App does not provide direct child care services. The Zuzo App is a platform that facilitates connections between care seekers and child care providers..

IMPORTANT NOTICE: USER RESPONSIBILITY: The Zuzo App and The Zuzo Agency, Inc. does not conduct background checks, criminal history checks, or any other form of screening or vetting of users. It is the sole responsibility of each user to assess and verify the identity, suitability, and qualifications of any other user they may interact with. The Zuzo Agency, Inc. is not liable for the actions or omissions of any user, including but not limited to any harm, loss, or damage caused by a user’s misrepresentation or misconduct. The Zuzo Agency, Inc. strongly encourages all users to exercise caution and due diligence when interacting with others, and to take appropriate measures to protect themselves and their families, both online and offline. Before hiring a nanny (“child care provider”) through the Zuzo App, the Zuzo Agency, Inc. recommends that care seekers conduct a thorough interview, as well as conduct reference and background checks. Before accepting a job through the Zuzo App, the Zuzo Agency, Inc. encourages child care providers to conduct their own due diligence before accepting any child care engagements.

The Zuzo App is a tool to help connect care seekers and nannies (“child care providers”). The Zuzo App and Zuzo Agency, Inc. do not endorse, refer, or recommend any specific child care provider or care seeker. The decision to engage with a child care provider or care seeker is solely at the user’s discretion and risk.

Users of the Zuzo App are neither employees nor independent contractors of Zuzo Agency, Inc. The Zuzo App merely facilitates connections between individuals seeking child care and those providing child care services.

Content provided in and through the Zuzo App is user generated. Zuzo Agency, Inc. does not control or vet user-generated content for accuracy, and does not assume and expressly disclaims responsibility for the accuracy or reliability of the content posted or provided by users on or off the Zuzo App. Zuzo Agency, Inc. expressly disclaims any liability that may result from the use of information provided in the Zuzo App.

The Zuzo Agency, Inc. does not control, monitor, investigate, supervise, or oversee the quality, timing, hours, pay, legality, or any other aspect of services provided or delivered to or by users of the Zuzo App.

The Zuzo Agency, Inc. is not responsible for the payment or non-payment of services provided by users. The Zuzo Agency, Inc. does not provide any tax forms or withholding taxes from payments made to child care providers.. All payments and applicable taxes, including self-employment taxes, are the sole responsibility of the user.

The Zuzo App currently supports posts in English only.

2. Consent and Capacity

In order to use our services, you must be at least eighteen (18). Your use of our services is conditioned on your acceptance of these Terms. If you do not agree with these Terms or the Privacy Policy, please discontinue your use of the Zuzo App. By using our services, you warrant that you are entering into a binding contract with Zuzo Agency, Inc. Areas of the Zuzo App may also be subject to additional terms. Any additional terms are not intended to replace or supersede these Terms, but rather supplement these Terms in those specific areas. Please take the time to familiarize yourself with the additional conditions of those areas before accessing them.

By downloading the Zuzo App, you consent and agree to be subject to these Terms.

3. Intellectual Property Rights

Zuzo Agency, Inc.’s trademarks, trade names, logos, proprietary AI tool, and other intellectual property incorporated into the Zuzo App are the sole property of Zuzo Agency, Inc. or its licensors and are protected under copyright, trademark, trade secret, and other intellectual property laws. Copying or distributing any material, illustrations, photographs, video, or content from the Zuzo App without consent is strictly prohibited. Additionally, any use that constitutes an infringement of any of the above-stated intellectual property rights is prohibited. We, in our sole discretion, reserve the right to remove any content or take any steps deemed appropriate to protect such rights.

4. User Content

Zuzo Agency, Inc. allows users to post, upload, or comment on content within the Zuzo App. Such user-generated content may include, but is not limited to, reviews, comments, pictures, or other visual attachments, such as proof of certifications (e.g., CPR certification, driver's license, etc.). By posting on the Zuzo App, you grant Zuzo Agency, Inc. a perpetual, nonexclusive, unrestricted, worldwide license to any and all of the user content you post. You acknowledge that you are the sole owner of any copyrights and that your content does not infringe the rights of any third parties. You agree to be fully responsible for any content you post on the Zuzo App.

User reviews, comments, pictures, and ideas posted on the Zuzo App may be used to improve the Zuzo App and Zuzo Agency, Inc. By submitting user content, you give Zuzo Agency, Inc. permission to store and use such content to improve our services.

Zuzo Agency, Inc. may monitor any user’s content posted to the Zuzo App. We reserve the right, at our discretion, to remove, terminate, or prohibit users from accessing the Zuzo App for any reason or no reason with or without notice.

5. Exclusive Use

You may use the Zuzo App as a care seeker to find care for your children, grandchildren, or children for whom you are the legal guardian. Nannies (“child care providers”) may use the Zuzo App for finding child care jobs for yourself and no other person. You may only use the Zuzo App for yourself and you may not assign or transfer your account to any other person or entity.

6. User Responsibilities

Users of the Zuzo App agree to the following guidelines:

You must be at least eighteen (18) years of age to register as a user or provide services as a child care provider.
You must be a legal resident of the United States and reside in the State of Texas.
If you are a parent/guardian, you will use the Zuzo App exclusively for the purpose of finding a nanny (“child care provider”). If you are a child care provider, you may use the Zuzo App only to find child care jobs for yourself and no other person or agency..
You understand and agree that before posting any content about a minor in the Zuzo App, including photographs, videos or other visual representations of a minor, that you are the parent or guardian of such minor or that you have obtained the written authorization from a parent or guardian of the minor.
You will provide accurate, current, and complete information and will not post information that is false or misleading.
You will independently determine the suitability of any care seeker or nanny (“child care provider”) by performing interview(s), background check(s), reference check(s), and any other verification necessary before selecting an appropriate care seeker or nanny (“child care provider”).
Neither you nor any member of your household has been convicted, arrested, charged or received any complaint, restriction or other legal action involving any felony, any other criminal offense involving violence, physical, sexual, or emotional abuse or neglect, theft, or drugs, any offense, violation or unlawful act that involves endangering the safety of others, fraud, dishonesty, or reckless or negligent conduct, or is registered or is currently required to register as a sex offender with any governmental entity or jurisdiction.
You will keep your username and password confidential. You will not share this information with any other person.
You will register your account in your full legal name, even if you are seeking care for another individual or family member.
You will not use another user’s login and registration information.
You will not create fake accounts for the purpose of spamming users or visitors, collecting personal information with or without consent, or any other deceptive practices.
You will not post any content in the Zuzo App that is derogatory, defamatory, obscene, harassing, threatening, profane, racially offensive, illegal, or sexually oriented.
You will not post comments about other users or individuals in the Zuzo App that is defamatory, libelous, or that could harm the reputation of another user or any other individual.
All content you post will be in English. You may communicate with users outside of the Zuzo App in languages other than English, but the Zuzo App only supports English at this time.
You will not infringe the intellectual property rights of others.
You will not post or use photos or other graphic representations of any other user or child without the user’s or guardian’s explicit consent.
You will not take, make, or post any photos or graphic content that violates any applicable laws or regulations, including but not limited to child pornography laws.
You will comply with all applicable employment and other laws in connection with any employment relationship you establish through the use of the Zuzo App, including verifying the age of the child care provider and the child care provider’s eligibility to work in the US.
You will comply with all applicable state and federal wage and labor laws, including but not limited to the Fair Labor Standards Act (FLSA) and the Texas Labor Code. This includes ensuring that all child care providers are paid at least the minimum wage, receive overtime pay for hours worked over 40 hours in a workweek, and are provided all required benefits and protections under applicable laws.
You will not circumvent, evade, disable, or otherwise interfere with the security of the Zuzo App.
You will not make any automated use of the Zuzo App.
You will not use any information provided through the Zuzo App for a purpose other than its intended use.

Additionally, to access certain portions of the Zuzo App, you may be required to provide information. The information you provide must be truthful, accurate, and complete. The information you provide is subject to our Privacy Policy, which is hereby incorporated into these Terms.

7. Termination

The Zuzo Agency, Inc. reserves the right to terminate a User’s access to the Zuzo App, without notice, for any violation or suspected violation or breach of these Terms and Conditions, the Privacy Policy, or for any other reason, at Zuzo Agency, Inc.’s sole discretion.

8. Disclaimer

THE ZUZO APP, ITS CONTENT, AND ALL THE MATERIALS ARE “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OR GUARANTEE. YOU ACCESS THE ZUZO APP AT YOUR OWN RISK UNDERSTANDING THAT ZUZO AGENCY, INC. DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. ZUZO AGENCY, INC. WILL NOT BE RESPONSIBLE FOR OR LIABLE FOR ANY DAMAGE THAT MAY ARISE FROM YOUR USE OF THIS SITE. ZUZO AGENCY, INC. DISCLAIMS ANY AND ALL WARRANTIES PERTAINING TO THE ACCURACY AND USEFULNESS OF THE MATERIALS, CONTENT, SOFTWARE, OR SERVICES PROVIDED VIA THE ZUZO APP. ZUZO AGENCY, INC. MAKES NO PROMISES OR REPRESENTATIONS THAT OUR SOFTWARE IS FREE FROM VIRUSES, MALWARE, OR ANY OTHER HARMFUL COMPONENTS, OR THAT THE ZUZO APP WILL BE AVAILABLE WITHOUT INTERRUPTION.

THIS SECTION APPLIES TO YOU TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PROVIDED BY APPLICABLE LAW, ZUZO AGENCY, INC. DOES NOT ACCEPT LIABILITY FOR LOSS OR DAMAGE OF ANY KIND, BE IT DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, EXEMPLARY, INCIDENTAL, ACTUAL, PUNITIVE, OR OTHERWISE, WHETHER IT ARISES FROM PERSONAL INJURY, FINANCIAL LOSS, DATA LOSS, OPPORTUNITY LOSS, THIRD-PARTY USE OR MISUSE, AGGREGATE SERVICE, PERSONAL DISSATISFACTION, OR ANY OTHER DAMAGE RESULTING FROM YOUR USE OF THE ZUZO APP. THE FULL ASSUMPTION OF RISK AND THEREFORE RESPONSIBILITY LIES WITH YOU, THE USER AND VISITOR. ZUZO AGENCY, INC., ITS DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES, AGENTS, SUBSIDIARIES, ASSIGNORS, AND LICENSORS WILL NOT BE HELD LIABLE IN ANY EVENT. FOR JURISDICTIONS IN WHICH STATUTORY LAW PROHIBITS THE LIMITATION OF CERTAIN TYPES OF LIABILITY RELATED TO THE GROSS NEGLIGENCE OF A PARTY, ZUZO AGENCY, INC.’S LIABILITY IS LIMITED TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW.

10. Indemnification

You agree to indemnify and hold harmless Zuzo Agency, Inc., its directors, shareholders, employees, representatives, agents, subsidiaries, assignors, and licensors from and against any lawsuits, disputes, claims, proceedings, demands, costs, or expenses related to or stemming from any use of the Zuzo App or your breach of these Terms and any other policies incorporated into this agreement.

11. Choice of Law

These Terms and any disputes arising from the use of the Zuzo App are governed by and construed according to the law of the state of Texas. Each party agrees to submit to the courts of the state of Texas and that the state of Texas has personal jurisdiction over the matter.

12. Dispute Resolution

We believe that it is beneficial to all parties to quickly resolve any potential disputes as efficiently and cost-effectively as possible. In line with this belief, you agree that any disputes arising from your use of the Zuzo App will be handled and resolved according to the provisions of these Terms, unless otherwise explicitly stated. If a dispute arises, you agree to first contact us and attempt to resolve any such issues informally. If informal attempts fail, you agree to submit any claim, dispute, or controversy to binding arbitration.

YOU AGREE TO WAIVE ANY AND ALL RIGHTS TO A JURY TRIAL YOU MAY HAVE IN ANY AND ALL JUDICIAL PROCEDURES AND PROCEEDINGS RELATED TO ANY DISPUTE ARISING FROM YOUR USE OF THE ZUZO APP UNDER THESE TERMS.

ALL PARTIES WAIVE THEIR RIGHTS TO PRESENT CLAIMS IN A CLASS ACTION SUIT.

13. Severability

If any portion of these Terms is deemed unenforceable, void, or invalid for any reason, the remaining provisions of these Terms will remain unaffected and will not be considered unenforceable, void, or invalid. They will maintain the full force of law to the extent possible.

14. Changes to These Terms

We may update these Terms from time to time. If any updates are made to these Terms, they will be posted here. Additionally, if material changes are made, we will notify you via a notice posted on the Zuzo App, and registered users will receive an additional email. Please check this page frequently for updates. Material changes will go into effect no less than 30 days after we notify you. Non-material changes will take effect immediately upon posting to the app. By using our app after the effective date of any changes you accept all such changes. If you do not accept these changes you must discontinue use of the app immediately upon notice of the changes, whether by email or posting to the app.
